TERMS OF USE

1. Definitions

In these Terms of Use, the following definitions apply:

YouTipper: the platform accessible via www.youtipper.com, operated by YouTipper, registered with the Dutch Chamber of Commerce under number 98761706, with its registered office at Keurenplein 41 Box E1135, 1069 CD Amsterdam, The Netherlands.

User: any natural person or legal entity that creates an account or uses the Platform.

Platform: the YouTipper website, applications, and related services.

Account: a User account created on the Platform.

Wallet: a decentralized blockchain wallet created for the User.

Services: all services provided by YouTipper, including the ability to receive tips.

2. Applicability

2.1 These Terms of Use apply to all use of the Platform and Services.
2.2 By creating an Account or using the Platform, the User agrees to be bound by these Terms of Use.
2.3 If the User does not agree with these Terms, the User must refrain from using the Platform.

3. Description of the Services

3.1 YouTipper is a platform designed for individuals and businesses to receive tips from customers or fans worldwide.
3.2 The Platform operates using blockchain technology and provides non-custodial services only.
3.3 YouTipper is not a bank, payment service provider, financial institution, or money transmitter.

4. Partnership with Kiip Wallets

4.1 YouTipper has entered into a collaboration with Kiip Wallets, a decentralized blockchain wallet provider.
4.2 Upon creating a YouTipper Account, a decentralized blockchain wallet is automatically generated for the User.
4.3 This Wallet is fully controlled by the User and is not managed or controlled by YouTipper.

5. Wallet Responsibility and Security

5.1 The User is solely and fully responsible for:

securing and storing wallet passwords;

safeguarding the private keys and seed phrase;

all activities conducted through their Wallet.
5.2 YouTipper does not have access to private keys, seed phrases, or Wallet credentials.
5.3 If the User loses, forgets, or compromises their password or seed phrase, YouTipper cannot recover the Wallet or any associated assets.
5.4 YouTipper shall not be liable for any loss of funds, access, or data resulting from the User’s failure to secure their Wallet credentials.

6. Acceptable Use

6.1 The User agrees to use the Platform only for lawful purposes.
6.2 The User shall not use YouTipper for:

illegal activities, fraud, money laundering, or terrorist financing;

violating any applicable laws or regulations;

distributing unlawful, misleading, or harmful content.
6.3 YouTipper reserves the right to suspend or terminate Accounts in case of misuse or violation of these Terms.

7. Blockchain and Technology Risks

7.1 The User acknowledges and accepts the inherent risks associated with blockchain technology, including but not limited to:

software bugs or technical failures;

network congestion or delays;

attacks, exploits, or vulnerabilities beyond YouTipper’s control;

volatility of digital assets.
7.2 YouTipper provides the Platform “as is” and “as available” and makes no warranties regarding uninterrupted or error-free operation.

8. Limitation of Liability

8.1 YouTipper shall only be liable for damages caused by willful misconduct or gross negligence.
8.2 YouTipper shall not be liable for:

loss of digital assets or Wallet access;

indirect, incidental, or consequential damages;

loss of profits, revenue, or data;

actions or failures of third parties, including blockchain networks or wallet providers.
8.3 To the maximum extent permitted by law, any liability of YouTipper shall be limited to the amount paid by the User to YouTipper during the three (3) months preceding the event giving rise to the claim.

9. No Financial, Legal, or Tax Advice

9.1 Nothing on the Platform constitutes financial, legal, or tax advice.
9.2 The User is solely responsible for complying with all applicable tax laws, reporting obligations, and regulations in their jurisdiction.

10. Intellectual Property

10.1 All intellectual property rights related to the Platform, including software, branding, and content, remain the exclusive property of YouTipper.
10.2 The User may not copy, modify, distribute, or exploit any part of the Platform without prior written consent from YouTipper.

11. Amendments

11.1 YouTipper reserves the right to amend these Terms of Use at any time.
11.2 Updated Terms will be published on the Platform and take effect immediately upon publication.

12. Termination and Service Discontinuation

12.1 The User may terminate their Account at any time.
12.2 YouTipper may suspend or terminate an Account immediately if the User violates these Terms or applicable law.
12.3 YouTipper reserves the right to discontinue the Platform or any Services at any time, for any reason, without prior notice. Users acknowledge that YouTipper is not liable for any consequences arising from such discontinuation.

13. Governing Law and Jurisdiction

13.1 These Terms of Use are governed by and construed in accordance with the laws of The Netherlands.
13.2 Any disputes shall be submitted exclusively to the competent courts of Amsterdam, The Netherlands.
